Добрый день!
Заказчик прислал мне вариант контракта на продажу эксклюзивных прав (3D картинки). В английском я особо не силен, но сколько смог - перевел. вроде особых вопросов не возникло, кроме пар 3 пп.2 - не понял о чем там речь. Хотелось спросить совета у стоковцев, есть ли какие-нибудь "подводные камни" в этом контракте? Может стоит добавить какие-нибудь пункты? (текст контракта ниже)

Contract for a specific work and the transfer of copyright
signed on .................. in Warsaw between:

and
2. Mama*studio, Pawlik, Ponagajbo, Wawrzkiewicz
with its registered office in Warsaw, ul. Koszykowa 33 represented by:
Magdalena Ponagajbo
further called MS
§ 1 [Statements]
............................... confirms the ownership of copyright to the following projects carried out as commissioned by MS:
§ 2 [Transfer of copyright]
............................... hereby declares transferring copyright to the projects listed in § 1 at a price which is defined by § 4 for the benefit of MS. The above transfer of copyright comprises the following fields of exploitation:
1) fixation 2) reproduction by means of any technique 3) distribution 4) digital storage 5) public performing 6) making available to the public 7) broadcasting
lease and tenancy 9) television or radio transmission carried out by wire or wireless means (terrestrial) 10) transmission by means of a satellite
11) simultaneous and integral transmission by another radio or television organization
§ 3 [Exercising derivative copyright]
............................... gives consent to:
1) exercise by MS all derivative copyrights regarding the projects described in § 1 of this Agreement
2) grant by MS permissions to exercise the derivative copyrights described in § 1 of this Agreement by the third parties
§ 4 [Remuneration]
MS declares to pay remuneration in the amount of gross euro ....................... for transferring the copyright to the projects defined in § 1.
§ 5 [Final provisions]
1. Any amendments to this Agreement shall be null and void unless made in writing.
2. This Agreement has been drawn up in two counterparts, one for each Party.
3. Any disputes regarding the execution of this Agreement shall be settled by a common court having jurisdiction over the registered office of MS.
4. The agreement has been concluded in accordance with the content of Art. 15 item 3 point 3 of the Act on Value Added Tax of 11 March 2004.
